Terms
& Conditions
1. Scope of these terms
In these terms, “Nou Supply”, “we”, “us” and “our” refer to the business identified above. “You” and “your” refer to the customer.
These terms govern the use of our website and orders for products and services supplied by Nou Supply, including product sourcing, design, customisation, packaging and delivery.
We primarily work with businesses and organisations purchasing merchandise for professional purposes. If you purchase as a consumer, any mandatory consumer rights that apply to your order remain unaffected.
The accepted quotation, approved specifications and any written project-specific agreement form part of your contract with us. Specific terms expressly agreed for your project take priority over these general terms, except where mandatory law provides otherwise.
2. Enquiries, quotations and placing an order
Submitting an enquiry through our website, email or WhatsApp does not place an order or create an obligation to purchase.
Following your enquiry, we will provide a quotation setting out the products or services proposed, quantities, customisation, price, payment requirements and estimated timing.
Quotations remain valid for the period stated in them. Before you accept, we will confirm any changes required because of stock availability, supplier pricing or project specifications.
A binding order is formed when you accept our final quotation and these terms in writing and we send you written order confirmation. Payment and production approval requirements will be stated in the quotation.
Please check the order details carefully and tell us about any errors before accepting. We will provide your order confirmation and applicable terms by email or another format you can save.
Contracts may be concluded in [list the languages you actually offer]. We retain order records for applicable legal and administrative purposes. You may request a copy by contacting us.
3. Prices and payment
Prices are quoted in euros unless otherwise stated.
Our quotations specify applicable VAT, delivery charges, design fees, sample costs and any other agreed charges. Where you purchase as a consumer, we will provide the total price, including applicable taxes and any known additional charges, before you commit to the order.
The deposit, payment schedule and accepted payment methods will be stated in your quotation. Production will not begin until the required payment and approvals have been received.
Additional work or changes outside the agreed scope may involve extra charges. We will obtain your approval before proceeding.
If an agreed payment is overdue, we may suspend work after notifying you. Any resulting effect on production or delivery timing will be communicated to you.
4. Artwork and production approval
You are responsible for providing accurate artwork, logos, text, quantities, sizes, colours and delivery information.
Before customisation begins, we will ask you to approve the relevant artwork, mock-up, sample or production specification in writing.
Please check all details, including:
Spelling and wording.
Logo versions and image quality.
Dimensions and placement.
Product colours and sizes.
Quantities and size breakdowns.
Delivery addresses and any essential deadline.
Your approval authorises us to produce the order according to the agreed specifications.
Changes requested after approval may not be possible and may affect the price and delivery date. We will explain any additional costs before you decide whether to proceed.
Approval does not remove our responsibility for production errors or products that do not conform to the agreed order.
5. Samples, colours and product variations
Digital mock-ups illustrate the proposed design but may not reproduce the finished product exactly. Screens, materials and different printing or embroidery techniques can affect how colours and details appear.
Where precise colour matching, positioning or dimensions are essential, these requirements must be agreed before production. We will confirm whether a physical sample, colour reference or other production check is needed and whether it carries an additional charge.
Any agreed production tolerances will be identified before you place your order. This clause does not permit material departures from the approved specifications or limit statutory rights.
6. Products supplied by you
We may agree to customise products supplied by you, subject to checking their suitability for the proposed process.
Before accepting the work, we will explain any identified limitations, testing requirements or particular risks. Any agreed allowance for testing or production wastage must be recorded in writing.
We remain responsible for loss or damage for which we are legally liable.
7. Production and delivery
Production and delivery estimates are provided for each project. Production timing normally starts once the order specifications are finalised, artwork is approved and the required payment has been received.
If your order is needed for an event or another fixed date, tell us before accepting the quotation. We will confirm in writing whether we can commit to that deadline.
We will notify you promptly if we become aware of a delay and explain the available options. We will not substitute a materially different product without your agreement.
You must provide accurate delivery details and ensure that someone can receive the order. Reasonable additional costs arising from incorrect information or a missed delivery attributable to you may be charged where legally permitted.
Nothing in these terms limits your rights where we fail to meet an agreed essential deadline or another delivery obligation.
8. Changes and cancellations
Contact us as soon as possible if you wish to change or cancel an order.
For business orders, cancellation requires written agreement. We may charge for work already completed and reasonable, evidenced costs or non-cancellable commitments incurred specifically for your order, taking account of costs saved or recovered. Any remaining prepaid balance will be refunded.
Once custom production has begun, changes or cancellation may no longer be practicable.
Consumer cancellation rights, where applicable, take priority over this section.
9. Personalised products and consumer withdrawal rights
Personalised products are made specifically for you and cannot be returned or exchanged after production has begun or is finalised. This does not affect your rights if the items are faulty, incorrect or do not match the agreed specifications.
Products made to your specifications or clearly personalised—such as goods printed or embroidered with your logo—are excluded from the statutory 14-day consumer right of withdrawal under Article 103(c) of Spain’s consumer protection legislation. We will inform you before you place your order when this exception applies.
If we supply non-personalised goods to you as a consumer under a distance contract and no legal exception applies:
You may withdraw without giving a reason within 14 calendar days after you, or your nominated recipient other than the carrier, receive the goods.
Notify us at [email] using a clear statement or the withdrawal form below.
Return the goods to [returns address] within 14 calendar days after notifying us.
You will bear the direct return cost only if we informed you of this before purchase.
We will refund the applicable payments, including the cost of our least expensive standard outbound delivery option, within 14 calendar days of receiving your withdrawal notice. We may withhold the refund until we receive the goods or evidence of their return, whichever occurs first.
You may be responsible for diminished value caused by handling beyond what is necessary to establish the goods’ nature, characteristics and functioning.
Any separate consumer design or other service will be subject to the applicable withdrawal rules. Where relevant, we will obtain the legally required express request before starting work during the withdrawal period and explain the consequences
10. Faulty, damaged or incorrect goods
Please inspect your order on receipt and contact (info@nousupply.com) promptly if anything is damaged, missing, faulty or different from the agreed specifications. Include your order reference, a description and photographs where possible.
We will investigate and provide the remedy required by the contract and applicable law. Depending on the circumstances, this may include repair, replacement, a price reduction or a refund.
Requests for prompt notification or photographs do not shorten statutory claim periods or make photographs a condition of exercising consumer rights.
For consumer purchases, applicable statutory conformity and guarantee rights remain in force, including for personalised goods. Business purchases are subject to the applicable commercial or civil rules and any valid project-specific agreement.
11. Intellectual property and permission to use artwork
You retain ownership of the logos, artwork and other materials you provide. You confirm that you have the rights or permissions needed for us and our production partners to use them to fulfil your order.
You grant us permission to reproduce and adapt those materials only as reasonably necessary to provide the agreed services.
Ownership and permitted use of original designs created by Nou Supply, including whether editable files are included, will be stated in the quotation or a separate written agreement. Unless expressly agreed, payment for finished products does not transfer ownership of our pre-existing templates, tools or production files.
We will obtain your permission before using your name, logo or project images in our portfolio or marketing.
12. Responsibility and events outside our control
Each party is responsible for complying with its contractual and legal obligations.
If an event outside our reasonable control affects your order, we will inform you promptly and take reasonable steps to reduce its impact. Such an event does not automatically remove your right to cancel or receive a refund where the law provides one.
Nothing in these terms excludes liability that cannot lawfully be excluded, including applicable liability for defective products, personal injury, fraud or intentional misconduct.
13. Website use and personal information
You must not misuse the website, interfere with its security or use its content unlawfully.
Website text, imagery, branding and designs belong to Nou Supply or their respective rights holders. You may not reproduce them commercially without permission.
Our Privacy Policy explains how we process personal information. Our Cookie Policy explains the cookies and similar technologies used on the website.
Accepting these terms does not constitute consent to receive marketing communications or to use optional cookies.
14. Questions and complaints
Please send questions or complaints to:
info@nousupply.com
We will acknowledge complaints and respond as soon as possible, and within any applicable statutory deadline.
Where applicable, consumers may request official complaint forms and contact their local consumer information office or the Agència Catalana del Consum. Consumer mediation or arbitration may be available subject to the relevant rules and participation requirements.
15. Governing law and disputes
These terms are governed by Spanish law, including applicable Catalan legislation.
If you are a consumer, this choice of law does not deprive you of mandatory protections that apply under the law of your habitual residence. Disputes will be heard by the courts competent under applicable law.
For business customers, jurisdiction will be determined by applicable law unless a separate, legally valid jurisdiction agreement has been made.
16. Changes to these terms
We may update these terms for future orders. The version provided and accepted when your order is placed will continue to govern that order unless we agree otherwise in writing.
If a provision is invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
17.Consumer withdrawal form
Complete and send this form only if you wish to withdraw from a contract for which a statutory right of withdrawal applies.
